Terms and Conditions of Service


Please read the following terms and conditions ("Terms") carefully. You ("you", "User") are advised that the Terms govern the contractual agreement between a user who accesses and/or uses the mobile application(s) made available from time to time by Shuga Pte. Ltd. ("Company", "us", "we"), including iOS, Android, and Windows Mobile versions ("Application"), any of the Company’s services ("Services"), www.shuga.io and any other website associated with the Company ("Website" and together with the Services and the Application, known as the "Shuga Platform") and the Company in relation to the access, browsing, interactions, rights and obligations in connection with the use of the Shuga Platform.

These Terms, including all terms, conditions and policies incorporated herein by reference, together with any notices published on the Website or Application shall constitute the entire agreement between you and the Company concerning the Shuga Platform. If you do not agree with any of these Terms, or if you have any objections to our Privacy Policy, you must not, and are not authorised to, use the Shuga Platform.

These Terms may be periodically modified or revised from time to time and such modification or revision will be effective upon notification to you of the same whether through the Application, Website or other means of communications. Do ensure that you review the revised Terms as your subsequent use and/or access of the Shuga Platform and/or the services shall be deemed to be your agreement to be conclusively bound by any such modification or revision. As our Services may be changed or modified over time, we may change, modify or discontinue all or any part of the Services at any time and without notice.

You will have to create an account and password with us in order to access and use the Shuga Platform ("Account"). When creating an account, we may ask you for certain information, such as your name, email address, telephone number, credit (or debit) card information, etc. and we may do so by requesting for permission to retrieve such information from your Facebook account or by any other means as stated by the Company from time to time. This will allow us to customise your experience with the Shuga Platform, and allow you to participate in the redemption of points under the Shuga Platform ("Shuga") and candie ("Candie") for the purpose of the redemption of various rewards ("Rewards")”), or to redeem Shuga for cash (“Cashback”). You will not be permitted to participate in the services conducted through the Shuga Platform without creating an Account with the necessary information provided.

As a condition of your access to and/or use of the Shuga Platform, you warrant that:

  1. the information you provide us will be true, accurate, current and complete and that you will not disclose your password to anyone else; and
  2. you are 18 years old or older in order to access and/or use the Shuga Platform.

You will be solely responsible for any activities or actions taken under your Account, whether or not authorised by you and that you will notify us immediately of any unauthorised use of your password or Account. We are not liable for any loss or damage from your failure to comply with these requirements and you agree that the Company shall not be responsible to you nor shall you be entitled to make any claim, demand or request for compensation from the Company in respect of any loss or damage suffered by you as a result of any unauthorised access to and/or use of your Account and password.

Subject to your compliance with these Terms, we grant you a limited non-exclusive, non-transferable, non-sublicensable, revocable license to download and install one (1) copy of the Application to your supported device, and access and use the Shuga Platform, solely for your own personal and non-commercial use. You may not: (i) copy, modify or distribute the Application for any purpose; (ii) transfer, sublicense, lease, lend, rent or otherwise distribute the Application, Website, or Services to anyone else; (iii) decipher, disassemble, reverse-engineer, decompile or otherwise, create derivative works of the Application, Website, or the Services; (iv) make the functionality of the Shuga Platform available to multiple Users through any means; (v) use multiple accounts, per individual User, per one device; (v) use the Shuga Platform in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with the Terms; or (vi) use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Shuga Platform, except as expressly permitted in the Terms. No other licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by the Company or its licensors.

You will not be permitted to participate in the services conducted through the Shuga Platform without creating an Account with the necessary information provided.

As a condition of your access to and/or use of the Shuga Platform, you warrant that:

  1. the information you provide us will be true, accurate, current and complete and that you will not disclose your password to anyone else; and
  2. 2. you are 18 years old or older in order to access and/or use the Shuga Platform.

You will be solely responsible for any activities or actions taken under your Account, whether or not authorised by you and that you will notify us immediately of any unauthorised use of your password or Account. We are not liable for any loss or damage from your failure to comply with these requirements and you agree that the Company shall not be responsible to you nor shall you be entitled to make any claim, demand or request for compensation from the Company in respect of any loss or damage suffered by you as a result of any unauthorised access to and/or use of your Account and password.

No other licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by the Company or its licensors.

You agree to comply with any and all the guidelines, notices, operating rules and policies and instructions pertaining to the use of the Services and/or access to the Shuga Platform, as well as any amendments to the aforementioned, issued by us, from time to time. We reserve the right to revise these guidelines, notices, operating rules and policies and instructions at any time and you are deemed to be aware of and bound by any changes to the foregoing upon their publication on the Shuga Platform.

In accessing and/or using the Shuga Platform, you agree and undertake NOT to:

  1. create more than one Account;
  2. collect Shuga and Candie on more than one device at a time;
  3. share your device(s) with any other individual, person or entity;
  4. creating any fake or anonymous accounts to earn referral Bonus Shuga;
  5. impersonate any individual, person or entity or to falsely state or otherwise misrepresent your affiliation with any individual, person or entity;
  6. use the Shuga Platform to collect or store personal data about other Users without their express permission;
  7. inaccurately represent the value of any referral or promotion code award, Shuga, Candie and/or Reward to any individual, person or entity;;
  8. install and/or use any manual or automated third party software, device, script robot, or any other means or processes for the purpose of collecting Shuga and/or Candie and/or any information and/or content contained and/or available in the Shuga Platform;
  9. use any meta tags or other hidden text or metadata utilizing any Company name, trademark, uniform resource locator or product name;
  10. gain unauthorised access to or otherwise interfere or disrupt other computer systems or networks connected to the Shuga Platform or Services;
    11. decipher, decompile, disassemble, reverse engineer, or otherwise discover or determine the source code used to provide the Shuga Platform;;
  11. defame, abuse, harass, harm, stalk, threaten, or otherwise violate the legal rights (including the rights of privacy and publicity) of others;
  12. interfere with another’s utilization and enjoyment of the Shuga Platform or Services;
  13. use, upload, post, email or transmit in any way, any software or material that contains, or which you have reason to suspect that contains, viruses, damaging components, malicious code or harmful components which may interrupt, destroy, limit, impair or corrupt the Shuga Platform’s data or damage or interfere with the operation, functionality or access of any User’s computer or mobile device to the Shuga Platform or Services;
  14. upload, post, transmit or otherwise make available any unlawful, inappropriate, defamatory, obscene, pornographic, vulgar, offensive, fraudulent, false, misleading, or deceptive User Content or message;
  15. post, upload, publish, submit, or transmit any User Content that infringes, misappropriates, or violates a third party’s patent, copyright, trademark, trade secret, moral rights, or other intellectual property rights, or rights of publicity or privacy;
  16. probe, scan, or test the vulnerability of the Shuga Platform or breach, impair or circumvent any security or authentication measures protecting the Shuga Platform;
  17. avoid, bypass, remove, disable, deactivate, impair, descramble, or otherwise circumvent any technological measure, security related feature or feature implemented by the Company to protect the Shuga Platform and/or to prevent or restrict the use of any content available on the Shuga Platform;
  18. attempt to redeem Shuga that were earned through any false or misleading fashion (for example by uploading receipts that have already been used by another Shuga user or any other scheme to earn Shuga for actions you did not take);
    20. submit false, inaccurate, fabricated, counterfeit, tampered with or otherwise artificial and unauthentic purchase information for the purpose of obtaining Shuga and/or Candie;
  19. use the Shuga Platform in any way that competes with the Company;
  20. acquire Shuga and/or Candie other than in a manner consistent with the intended use of the Shuga Platform;
  21. purchase, combine or transfer Shuga and/or Candie with other Users or any other person;
  22. post any product review on a digital distribution platform for mobile devices (for example, iTunes App Store, Android Play Store), which includes a referral or promotion code for collecting or receiving Shuga and/or Candie through the Shuga Platform;
  23. use the Shuga Platform or Services other than in conformance with the acceptable use policies of any connected computer networks, any applicable internet standards and any applicable laws and regulations; and
  24. encourage or enable other individuals to conduct any of the foregoing and/or to breach any of the terms in this Terms.

You further agree and undertake to comply with all applicable laws, statutes, regulations and ordinances in connection with any use by you of the Shuga Platform and/or to not use the Shuga Platform or Services for any illegal and/or fraudulent purposes.

Please note that the list set out above is non-exhaustive, and Shuga will prohibit users from engaging in any activity that Shuga determines in our sole and absolute discretion is offensive, illegal, fraudulent, interferes with the rights of others or causes harm to any person. We reserve the right at our sole and absolute discretion to:

  1. suspend, cancel, terminate and/or deny access to or use of, the Shuga Platform for the purposes of system maintenance, upgrading, security or such other purpose as we may deem appropriate;
  2. discontinue all or part of the services on the Shuga Platform with reasonable prior notice to you;
  3. add and/or modify all or part of the services on the Shuga Platform; or
  4. revoke any Shuga and/or Candie at any time for any reason whatsoever (including but not limited to a breach of the Terms) and without prior notice.

Your access to and/or use of the Shuga Platform is also subject to the Privacy Policy as set out at our privacy policy page.

Shuga

Shuga are similar to reward points, which are earned by means such as walking into physical stores, scanning certain items while physically in a store, making purchases of certain items and other methods as indicated within the Shuga Platform. The Company reserves the right to change, add or remove any award types, and the methods by which Users can earn and redeem Shuga or other awards, for any reason and without notice to you, in its sole discretion and at any time. All Shuga, under all programs are rewarded on a "first come, first served" basis.

In order to be awarded Shuga, you must use the Shuga Platform in accordance with the Terms. You should further note that there will likely be limits on how many times you can be eligible for Shuga in various time periods (a day, a week, a month, etc.) for each action, and for each program. Eligibility requirements for all programs may change without prior warning. Please do check the Application, or relevant pages within the Shuga Platform for the most up-to-date information in relation to the redemption of Shuga.

You agree to use the Application and Shuga Platform only for the actions required, and in compliance with these Terms. We will not be liable for a failure to award Shuga under any circumstance, for any reason, including due to errors in your mobile device or mobile network, failing to complete the actions and/or failure to follow the stated directions. We cannot guarantee that eligibility dates will not change without prior warning, and we therefore disclaim all responsibility for any failure to award Shuga. All Shuga awarded shall be credited to your Shuga Wallet and can be viewed at the History section of the Application.

There are various ways for you to earn Shuga through the Shuga Platform as set out below:

Shuga for Walk-ins
Shuga for walking-in can only be earned if you are physically present at eligible participating walk-in locations that are open for business and active at the time you have the Application open, your device has network reception while you are accessing the relevant pages in the Application, and there are available Shuga for distribution at the time ("Walk-in Shuga Award"). It should be noted that there may be certain restrictions on how often you can walk into a store to earn Shuga and you should always check the Application for the most up-to-date information. Please note that we are not liable for a failure to award Walk-in Shuga Awards if the maximum Shuga allocated to the relevant participating store has been awarded to other Account holders. You should also note that the number of Shuga that will be awarded to you for walking into the same participating store may change from time to time. You also agree by participating in the Walk-in Shuga Award that the Company has no obligation to notify and inform you when there are no more Shuga to be earned as the maximum Shuga allocated to the relevant participating store has been fully awarded.

Shuga for Scans
Shuga for scans can be earned by using the scanning function on the Application (or similar functions in the Shuga Platform as specified by the Company from time to time) to scan the bar codes of participating products with your device’s camera while you are physically present at eligible participating stores and there are available Shuga for distribution at the time ("Scan Shuga Awards"). The scanning function on the Application will only be available to you when you and your device are detected to be physically within the eligible participating stores. The scanning function on the Application will not be available to you if you are not physically in the eligible participating stores. The identity of participating products and their locations will be communicated to you from time to time through the Shuga Platform. It should be noted that each participating product will have a limit on the number of times the relevant product may be scanned in a specified time period which may be a day, a week or a month (as the case may be), and there will also be limits on the time interval between each scan. Please scan the participating products one at a time in order for the scanning function to be able to register the participating product and process the same. Some time may be required between each scan. Further, each participating product has a limited number of scans available for all Users of the Application and the Shuga Platform. If the scan limit is reached, you will no longer be able to earn Shuga for scanning that participating product. You should also note that the number of Shuga that will be awarded to you for scanning the same participating product may change from time to time.

You agree that by participating in the Scan Shuga Awards program, the Shuga Platform may access your device’s camera, and that the Company will review the scans made by your device. In addition, you also agree to use the Shuga Platform, the Scan Shuga Award and the Purchase Shuga Award (as defined below) solely for the purpose of submitting scans to the Company, and to fully follow and comply with the Terms. In particular, you agree that you will only scan participating products at the locations listed in the Shuga Platform, unless you are otherwise directed by the Shuga Platform. Further, the Company does not guarantee that the advertised products will always be available for scanning at the published locations (e.g. a participating product may be out of stock in the said participating location, etc.), or that bar codes will always be accurate. Accordingly, please note that the Company disclaims any and all responsibility for any failed scanning experiences, errors, or mistakes that may occur during a scanning attempt. Additionally, we are not liable for a failure to award Shuga, including where such a failure occurs due to the inaccuracy of the information we may receive from participating product manufacturers and stores, or because there are no more Shuga to be earned as the maximum Shuga allocated to the participating product has been fully awarded. By participating in the Scan Shuga Awards, you agree that the Company is under no obligation to notify and inform you when there are no more Shuga to be earned as the maximum Shuga allocated to the relevant participating product has been fully awarded.

Shuga for Purchases
In order to earn Shuga for purchases, you will be required to send a copy of the receipt of purchase of the participating product to the Company ("Partner Receipt") through the scanning function and there are available Shuga for distribution at the time ("Purchase Shuga Award"). In order to be eligible to obtain Shuga for scanning receipts of purchase of the participating product, the text, numbers and logo on the receipt must be clear and legible, show the date of the receipt, name of the relevant merchant participating in the Shuga Platform ("Partner"), address of the Partner and total amount spent, have a receipt number and be computer generated. You should also note that the number of Shuga that will be awarded to you for purchasing a participating product may change from time to time.

We will only award you Shuga for qualifying purchases that are not returned. Such qualifying purchases are purchases of the participating product made from stores included in the Purchase Shuga Awards, such purchases are not held in default or deemed fraudulent, and fully comply with the Terms. Further information in relation to the participating products and the Purchase Shuga Awards will be listed in the Shuga Platform.

Purchase Shuga Awards may not be awarded or redeemed until a certain time period (for example, for returns associated with that Partner has passed. Typically, this time period is between 3 and 45 days, but it could be longer, as indicated in the History section of the Shuga Platform. During this time, the Shuga will be indicated as pending in the History section and will be transferred to the Shuga Wallet after the relevant time period has passed. If you make a return, the transaction is invalidated, disputed, or does not settle for any reason prior to the Shuga, then some or all pending Shuga will be deducted from your Account, as determined and at the sole and absolute discretion of the Company. If you make a return for cash or, store credit, we will take away some or all of your pending Shuga accordingly.


Candie

In addition to Shuga, you may also obtain Candie by tapping on them when they appear on the map within the Shuga Platform. Candie will also be awarded when you scan receipts of merchants who are not Partners ("Non-Partners") ("Non-Partner Receipts" and together with the Partner Receipts, known as the "Receipts"). In order to be eligible to obtain Candie for scanning receipts of merchants who are Non-Partners, the text, numbers and logo on the receipt must be clear and legible, show the date of the receipt, name of the Non-Partner, address of the Non-Partner and total amount spent, have a receipt number and be computer generated.

Any unused Candie shall expire on the fourth following Wednesday at 8:59 p.m. from the date which the Candie was obtained. For illustrative purposes, a Candie obtained on Wednesday, 5 September 2018 at 9:01 p.m. and a Candie obtained on Tuesday, 11 September 2018 at 23:59 p.m. shall each expire on Wednesday, 3 October 2018 at 8:59 p.m as it is the fourth Wednesday following from the date that each of the aforementioned Candie were obtained.

Bonus Shuga

Bonus Shuga are awarded through the Shuga Refer a Friend program as described below ("Bonus Shuga"). Such Bonus Shuga will be accumulated in a separate Bonus Shuga Wallet and cannot be used by the User. However, the Bonus Shuga in the Bonus Shuga Wallet will automatically be converted to Shuga on a 1:1 basis and be transferred to the Shuga Wallet once more than 2000 Bonus Shuga are accumulated.

Shuga, Bonus Shuga and Candie are to be Awarded in Whole Numbers

Shuga, Bonus Shuga or Candie shall only be awarded in whole numbers. For the avoidance of doubt, the number of Shuga, Bonus Shuga or Candie to be awarded to Users will be rounded down to the nearest whole number and fractional entitlements to Shuga, Bonus Shuga or Candie shall be disregarded without compensation to the affected Users.

Specific terms for uploading of receipts

By uploading Receipts, you agree that:

  1. the Shuga Platform may access your device’s camera, and that the Company will review the scans made by your device;
  2. you will, upon our request and in our sole discretion, provide additional proof of purchase;
  3. you will not submit Receipts from stores outside of Singapore;
  4. you will not submit any purchase information that is false, fabricated, misleading, inaccurate, counterfeit, tampered with, changed, adjusted, altered, or any other form that is artificial or inauthentic, whether by hand, computerised means or otherwise, for the purpose of attempting to earn or redeem any Shuga and/or Candie;
  5. you will not submit Receipts that have been successfully uploaded previously by you or another user;
  6. you will not submit or upload any Receipts that does not accurately represent a purchase that you have completed. You may not upload a Receipt that was acquired by means other than a valid purchase, such as gathering Receipts from others, from a store, or by printing a duplicate Receipt and representing it to be a Receipt from a different transaction whether by hiding and/or overlapping certain parts of the Receipt or otherwise;
  7. you will not submit or upload a Receipt that is more than 48 hours, Receipts uploaded more than 48 hours after the date of purchase will be rejected;
  8. you may submit up to 56 Receipts a week to earn Candie, though you will not submit more than 2 Receipt per Partner and/or Non-Partner (as the case may be) per day;
  9. you will not photocopy, printout, photograph, or reproduce a Receipt that is not an original Receipt printed from a point of sale device of a Partner or Non-Partner (as the case may be) on its original receipt paper; and;
  10. you will not submit digital or electronic Receipts unless done so through appropriate means designated for these types of receipts.

Please note that the list set out above is non-exhaustive.


Eligibility of Employees

For the avoidance of doubt, if you are deemed to be an employee (whether permanent, temporary or otherwise) of a Partner or Non-Partner under the Shuga Platform, you will not be eligible to earn Walk-in Shuga Awards, Scan Shuga Awards and Purchase Shuga Awards of the relevant Partner and/or Candie from scan purchase receipts of the relevant Non-Partner, as the case may be.


Refer a Friend

The Shuga Refer a Friend program is open to all Users. If an existing User (the “Referrer”) shares their unique link with a friend or relative who is not an existing User (subject to the eligibility criteria set out above) who subsequently downloads the Application through the unique link provided by the Referrer and sets up an Account (the “Referee”) via a device that is different from the one which the Referrer provided the unique link from (“Different Device”), the Referrer will be entitled to Bonus Shuga. If you choose to send such unique links, you represent to the Company that the recipients have consented to receive such messages from you, and that those recipients do not consider such messages unwanted or unsolicited, and that you made the active choice to send these links. We are not responsible or liable for sending any such links; these are expressly sent by you should you choose to make such referrals. Please note though that messaging fees may apply depending on the mobile phone plan you have with your mobile phone carrier.

If the foregoing eligibility criteria is met, the Referrer shall be entitled to Bonus Shuga: (i) when the Referree completes signing up for an Account ("Signing Up"); (ii) for all walk-ins successfully completed by the Referee in the first 30 days of Signing Up; (iii) for all scans successfully completed by the Referee in the first 30 days of Signing Up; and (iv) for all purchases successfully completed by the Referee in the first 30 days of Signing Up. The number of Bonus Shuga to be awarded to the Referrer for each of the aforementioned milestones may be different for each milestone, shall be determined in the sole and absolute discretion of the Company, and may be subject to change at any time.

There is no limit to the number of Referees that a Referrer may refer, and the Company is not obligated to inform the Referrer if their referrals are successful. Do note though that the Company retains the sole and absolute discretion to make amendments to the terms and conditions of the Shuga Refer a Friend program without prior notice to all Users, including for example to limit the number of Referees that a Referrer may refer.

The Company reserves the sole and absolute right to withdraw, amend and/or alter the terms and conditions of or end this Shuga Refer a Friend program at any time, without giving prior notice or compensation in cash or in kind.

Redeeming Shuga and Candie for Rewards

You may redeem Shuga and Candie for Rewards listed in the rewards section of the Application while such Rewards last and/or during the time periods specified. You can select any item still available for which you have accumulated sufficient Shuga and/or Candie that are ready for redemption. To redeem, click the selected item and follow instructions provided to claim the Reward. Shuga and Candie cannot be exchanged for cash, are not your property, cannot be sold, transferred, or assigned, and may only be redeemed for Rewards offered within the Shuga Platform. All redemptions of Shuga and Candie for Rewards are final and cannot be exchanged.

Some Rewards may be self-collected in eligible participating stores. In order to self-collect the Reward, a unique code and/or confirmation email for redemption may be provided to you directly via email, to your device or though the Shuga Platform. Emails will be sent to the email address you provide. This unique code and/or email will need to be presented to a store sales associate in order to redeem your Reward. Once this unique code/email is sent to you, the redemption process is handled by the store that it is to be used at, and we are not responsible or liable for the Reward value or the redemption process.

Other Rewards may require a mailing address to ship the Rewards. You are responsible for maintaining the accuracy of your contact information in your Account. We may modify the list of Rewards periodically, and reserve the right to modify the Shuga values of the Rewards, and its applicable redemption at any time, for any reason. We are not the supplier of any Reward, and are not liable or responsible for its fulfillment or proper condition or value. Please contact the supplier of the Reward directly with any claims you may have.


Redeeming Shuga for Cash

You may Cashback at any time subject to these Terms or the specific conditions that relate to the individual entries in your Account. However, you must have accumulated sufficient Shuga relating to a dollar value more than or equal to the minimum redemption amount indicated and communicated from time to time before you may Cashback. In order to Cashback, you must maintain an active Account and provide the minimum relevant payment account information required to process the redemption (e.g. a valid bank account number or a Paypal account) (“Payment Account”). For security purposes, each Payment Account may only be linked to one Account and each User is limited to Cashback a maximum of only S$100 for every 24 hour period.

You are responsible for regularly checking your Account and Payment Account to ensure the Cashback has been properly credited and that your Account and Payment Account balance is up to date. You must notify us of any omissions, incorrect entries or discrepancies concerning any transaction within 30 days after that transaction. We reserve the right not to correct any omissions, incorrect entries or discrepancies brought to our attention after the 30 day period has lapsed.

For the avoidance of doubt, you do not gain any proprietary right over any monies or assets held by the Company when you Cashback into your account. The Shuga accrued in your account do not constitute monies held on trust by the Company for your benefit. Your rights and entitlements are solely limited to such personal or contractual rights of repayment as may arise out of these Terms.

The Company reserves the right from time to time to make top-ups and deductions from the balance in your Account and Payment Account where it is necessary, reasonable, or expedient to do so. This includes (but is not limited to) situations where Cashback has been incorrectly credited into your Payment Account and/or where a User is found to have acted fraudulently, dishonestly, or in contravention of these Terms.

Shuga Wheel

You may also use your Candie to spin the Shuga Wheel in the Application, provided you have accumulated the minimum number of Candie required for one chance to spin the Shuga Wheel (a "Spin"). The number of Candie required for a Spin and the type of rewards to be granted pursuant to a Spin will be set out in the Application.

The Company reserves the sole and absolute right to disqualify Users from participating in the Shuga Wheel feature (whether due to a breach of these Terms or due to a participant having engaged in conduct that the Company considers inappropriate or unacceptable).The Company further reserves the sole and absolute right to withdraw, amend and/or alter the terms and conditions of or end this Shuga Wheel feature at any time, including the number of Candie required for a Spin, without giving prior notice or compensation in cash or in kind.

Please note that Apple is not a sponsor of, or responsible for conducting, the Shuga Wheel.


Shuga High

You may also use your Candie to participate in the lucky draw (“Shuga High”) feature in the Application, provided you have complied with the terms and conditions of the respective Shuga Draw that you wish to participate in as set out in the Application, including but not limited to the number of Candie required for a chance to participate in the Shuga High (“Draw”), the eligibility of Users, the number of Draws each User may have, the overall mechanics of each Shuga High, the type of prizes to be won, and the qualifying period and time for the Shuga Draw.

The Company reserves the sole and absolute right to disqualify Users from participating in the Shuga High (whether due to a breach of these Terms or the terms and conditions of a Shuga High as set out in the Application, or due to a User having engaged in conduct that the Company considers inappropriate or unacceptable).The Company further reserves the sole and absolute right to withdraw, amend and/or alter the terms and conditions of or end this Shuga High feature at any time, without giving prior notice or compensation in cash or in kind.

Winners of Shuga High will be contacted via channels such as Push Notification, In-app message through Shuga App or registered email. Once contacted, you must arrange a collection time within 30 calendar days. Should you fail to collect the prize within the stipulated period, The Company reserves the rights to disqualify your prize.

Shuga Pte Ltd employees are not eligible to participate in Shuga High.

Please note that Apple is not a sponsor of, or responsible for conducting, the Shuga High.


General Information regarding redemption of Shuga and Candie

Shuga and Candie may be used as soon as they are reflected in your Account balance or may be accrued over time for later use prior to forfeiture or termination of the Shuga Platform. For the avoidance of doubt, there is no expiry period for Shuga, Bonus Shuga and Candie. Some Rewards may require additional time before they can be fulfilled. Refunds, exchanges and other issues regarding the redeemed item are governed by the Reward supplier’s terms and conditions applicable to the item, including any warranty, and are not our responsibility. Restrictions may apply to certain Rewards and the terms specific to the Rewards are disclosed through the Shuga Platform. Partners participating in the Shuga Platform are subject to change at any time. You are responsible for the payment of any applicable taxes that may result from Rewards received as part of the Shuga Platform. Rewards pictured within the Shuga Platform may not necessarily reflect exact colors or models of actual Rewards due to model variations and/or manufacturer’s updates.

Merchandise rewards that are not collected by you or are not eligible for self-collection will be shipped within 21 business days from the date of the Reward redemption. Merchandise can only be shipped to locations in Singapore. Some merchandise Rewards require a street address for shipment. We reserve the right to substitute merchandise of equal or greater value in place of unavailable merchandise, or to refund Shuga that were redeemed for unavailable merchandise. All Rewards are provided "AS IS" without warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose or non-infringement.

Merchandise can only be shipped to locations in Singapore. Some merchandise Rewards require a street address for shipment. All Rewards are provided "AS IS" without warranty of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose or non-infringement.

To redeem Shuga and Candie for Rewards, you agree to comply with all applicable laws and to abide by these Terms. We expressly reserve the right to retroactively reverse any rewards or benefits granted to you for any prohibited conduct or violation of the Terms; you agree to provide your full cooperation and prompt repayment under such circumstances.

If you believe that Shuga, Candie or other awards were not properly accrued to your Account (or if you have been incorrectly deemed to be an employee of the relevant Partner and/or Non-Partner), please notify us by using the Contact Us form on the Shuga Platform within 30 days of when you think the error occurred. Please allow 30 days for any claims to be researched and corrected as needed. Our determination will be final, and made in our sole and absolute discretion. Unfortunately, we cannot guarantee Shuga and Candie you believe should have been accrued can be credited to you later, if we are unable to determine the precise location you were in, or the action you took on the Application or at a store, at the time when you believe the Shuga and Candie should have been credited. Among other reasons, technical problems with a walk-in detection system may result in your action not being detected or verified accurately by the Shuga Platform. While we try to prevent that from happening, neither we nor our affiliates or business partners can be held liable for your inability to accrue Shuga, Candie or other awards in such event.

You hereby grant us a worldwide, royalty-free, sublicenseable and transferable license to use, reproduce, distribute copies of, prepare derivative works of, display, and perform publicly the materials and/or information submitted by you to the Shuga Platform and/or provide to us, including but not limited to questions, reviews, feedback, comments and suggestions ("User Content"). Any User Content you submit via the Shuga Platform may be viewed by, and shared with, other people, based on the settings you select for your Account and/or your settings within the applicable third party network.

When submitting User Content, you agree not to: (i) submit material that violates anyone else’s proprietary rights, including intellectual property rights and privacy, confidentiality and publicity rights, or can be considered spam or junk mail; (ii) knowingly publish false or inaccurate information; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iv) post advertisements, "pyramid schemes," chain letters or other solicitations; or (v) impersonate another person.

We do not endorse any User Content, any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with any User Content. We reserve the right to decide in our sole discretion whether User Content is appropriate and complies with these Terms, and may remove such User Content and/or terminate your access for uploading material in violation of the Terms at any time without prior notice. We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting publishing or otherwise making available User Content or other materials that are believed to violate the Terms of our policies.

All copyright, trademarks, and other intellectual property rights in the Shuga Platform (including but not limited to any images, photographs, animations, video, audio, music, text and "applets"), are owned or otherwise licensed by us. No title or any intellectual property right is transferred hereunder. With the exclusion of allowable use for research or private study purposes under applicable copyright laws or for the sole purpose of casual browsing of the Shuga Platform, no part of the Shuga Platform may be reproduced, distributed or modified in whole or in part in any manner whatsoever by any medium without our prior written consent.

Shuga.io, the Shuga Platform, the Shuga Platform logo, Shuga, any other Company IP and/or other products and services referenced within the Shuga Platform or associated materials are trademarks of the Company, and may be registered in certain jurisdictions. All other product names, company names, marks and logos referenced may be trademarks of their respective owners.

Nothing within these Terms should be construed as granting any license or right to any trademarks or the Shuga Platform content without our prior written consent, or prior written consent of the respective third party owners.

You may terminate your Account at any time and for any reason by writing in to us at hello@shuga.io to inform us of your intention. By cancelling your Account, your Account will be terminated and may no longer be accessible, and all Shuga and Rewards shall be immediately forfeited. Any termination request will be handled within 30 days of receipt of such a request by the Company.

We may immediately terminate your Account or suspend your access to the Shuga Platform, remove any Shuga and/or Candie, disqualify you from self-collecting any Rewards which you have redeemed or terminate shipping of any Rewards which you have redeemed and/or material (including any User Content provided by you) from the Website, Application or our servers, in the event that you breach the Terms, any information furnished by you is false or misleading or for other improper conduct, at our sole and absolute discretion and without prior notice to you. As a result of any such termination, we may disqualify you from future participation in any of our programs, Services or the Shuga Platform. Any suspension, termination or cancellation will not affect your obligations to us under the Terms (including but not limited to ownership, indemnification and limitation of liability), which by their sense and context are intended to survive such suspension, termination or cancellation.

Upon termination, all licenses and other rights granted to you under the Terms will immediately cease, and you will forfeit all Shuga and Candie. We will not be liable to you or any other person for termination of your Account or suspension of your access to the Services. Upon any termination or suspension, any information (including User Content) you submitted to the Shuga Platform may no longer be accessed by you. Furthermore, we will have no obligation to maintain any information stored in our database related to your Account or to forward any information to you or any other person.

By accessing and using the Shuga Platform, you agree that we may collect, use and disclose certain information about you, either provided directly by you or other parties, such as our service providers, or your friends who invite you to the Shuga Platform. By providing your consent to the Terms, you also agree that we may use this information to contact you (via the Website, Application, phone, electronic mail, physical mail or otherwise) for the purpose of informing you of changes or additions to the Website, Application or Services, or of any related products and services (any such contact is a "Message"). You agree that any Message that we send to you electronically will satisfy personal data protection requirements.

Some Messages you may receive are via your telephone. For example, you may receive push notifications, local client notifications, text messages, picture messages, alerts, emails or other types of messages directly sent to you outside or inside the Application. For calls or text messages to the cellular phone number you provide, by agreeing to these Terms and by providing consent when asked, you authorise the Company to send texts or calls to your phone using an autodialer or a prerecorded voice.

Some Messages you may receive are via your telephone. For example, you may receive push notifications, local client notifications, text messages, picture messages, alerts, emails or other types of messages directly sent to you outside or inside the Application. For calls or text messages to the cellular phone number you provide, by agreeing to these Terms and by providing consent when asked, you authorise the Company to send texts or calls to your phone using an autodialer or a prerecorded voice.

We may also offer you the opportunity to invite your friends or contacts to download the Application and use the Shuga Platform, as set out in further detail in the section "Refer a Friend" above. In general, you have control over the settings for types of Messages and can opt in or out of these via the Shuga Platform or through the phone’s operating system (with the possible exception of infrequent, important service announcements and administrative messages).

We have no intention of spamming you with unwanted messages and you may opt out of commercial advertising and marketing communications at any time by following the unsubscribe instructions included in each communication or by going to your Account page on the relevant Website, Application page, and changing your preferences. Please note, however, that we do need to send you certain communications regarding the Shuga Platform and your Account, and you will not be able to opt out of those communications – e.g., communications regarding updates to our Terms of Service or Privacy Policy. Please see our Privacy Policy for further information on how we manage and process your personal information.

For your convenience, we may include hyperlinks to other websites or content on the Internet that are owned or operated by third parties. Such linked websites or content are not under our control and we are not liable for any errors, omissions, delays, defamation, libel, slander, falsehood, obscenity, pornography, profanity, inaccuracy or any other objectionable material contained in the contents, or the consequences of accessing, any linked website. Any hyperlinks to any other websites or content are not an endorsement or verification of such websites or content and you agree that your access to or use of such linked websites or content is entirely at your own risk.

We may attach banners, java applets and/or such other materials to the Shuga Platform for the purposes of advertising products and/or services from us or the Partners. For the avoidance of doubt, you shall not be entitled to receive any payment, fee and/or commission in respect of any such advertising or other promotional materials.

When using the Application, please be aware of your surroundings. You agree that your use of the Application is at your own risk, and it is your responsibility to maintain such health, liability, hazard, personal injury, medical, life, and other insurance policies as you deem reasonably necessary for any injuries that you may incur while using the Services. You also agree not to use the Application to violate any applicable law, rule, or regulation, and you agree not to encourage or enable any other individual to violate any applicable law, rule, or regulation. Without limiting the foregoing, you agree that in conjunction with your use of the Application you will not impersonate any other person or misrepresent your affiliation, title, or authority, and will not otherwise engage in any activity that may result in injury, death, property damage, and/or liability of any kind.

We make no express warranties or representations as to the quality and/or accuracy of the content, Application, Website, Services or merchandise, and we expressly disclaim any implied warranties, conditions and/or representations, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the full extent permissible under applicable law. We offer the content, Application, Website, Services and Shuga Platform on an "as is" basis and do not accept responsibility for any use of or reliance thereon, or for any disruptions to or delay in your use of each. In addition, we do not make any representations as to the accuracy, comprehensiveness, completeness, quality, timeliness, error-free nature, compatibility, security or fitness for purpose of the content, Application, Website, Services or Shuga Platform. We do not guarantee the adequacy of the content, Application, Website, Services and Shuga Platform or compatibility thereof to your computer equipment, devices, mobile devices, or environment and do not warrant that the content, Application, Website, Services and Shuga Platform, their servers, or any Messages which may be sent from the Company are free of viruses or any other harmful components.

Limitation of Liability

With the exception of death or personal injury by the proven fault of the company, you expressly understand and agree that the company, its subsidiaries or affiliates, officers, directors, employees or licensors will not in any circumstances be liable for any indirect, consequential or incidental damages, including damages for loss of business, business interruption, loss of business information, loss of data, procurement of substitute goods or services or any other losses whatsoever, arising out of (i) the use or inability to use the Shuga Platform, the Services or reliance on the Shuga Platform contents ; (ii) unauthorised access to or alteration of your data or data transmissions; or (iii) any other matter in connection with access or use of the Shuga Platform (even if the company has been advised of the possibilities of such damage). Although we will not be liable for your losses caused by any unauthorised use of your account, you may be liable to others as well as to us if your Account is used in violation of the terms and conditions of this agreement.

With the exclusion of death or bodily injury directly caused by the proven fault or negligence of the Company, the Company’s aggregate liability to any User for claims under and in connection with use of the Shuga Platform, whether for liability in contract, tort or otherwise irrespective of the form of action will be limited to Singapore Dollars One Thousand in respect of any one event or series of connected events and provided always that the Company’s aggregate liability under or in connection with the Partnership Agreement (if applicable) and these Terms (whether for liability in contract, tort or otherwise) will be limited to Singapore Dollars Two Thousand.

Further, in the event that you have a dispute with one or more other Users, you release Shuga (and our officers, directors, agents, subsidiaries, joint ventures, and employees) from all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

Indemnity

You agree to indemnify, defend and hold harmless the Company, its directors, officers, employees, assigns and affiliates from and against any and all claims, actions, liabilities, losses, expenses, damages and costs, including, but not limited to, reasonable legal fees (collectively, "Liabilities"), that may at any time be incurred by reason of any third party claim:

  1. arising out of or relating to your breach or alleged breach of these Terms,
  2. your use of and access to the Application, Website, Services and Shuga Platform;
  3. arising out of any software virus or other software code of a destructive nature transmitted by you;
  4. your violation of any third-party right, including without limitation any copyright, property, privacy or confidentiality right; or
  5. any claim that your User Content caused damage to a third party,
    provided that such Liabilities do not arise from the Company’s willful default or gross negligence.

The use of the Shuga Platform and these Terms shall be governed by and construed in accordance with Singapore law and you hereby submit to the exclusive jurisdiction of the Singapore courts.

Assignment

We reserve the right to assign or transfer our rights and obligations under this Agreement. These terms are personal to you and, as a result, you may not, without our prior written consent, assign or transfer any of your rights and obligations under this Agreement.

Rights of third parties

A person or entity who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act, Chapter 53B of Singapore, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, nothing in this Clause shall affect the rights of any permitted assignee or transferee of these Terms.

Severability

If any provision of these Terms is held invalid, unenforceable or illegal for any reason, these Terms shall remain otherwise in full force apart from such provision which shall be deemed deleted.

Waiver

No waiver of any breach of these Terms shall be deemed to be a waiver of any other or of any subsequent breach. The failure of the Company to enforce at any time any of the Terms shall in no way be interpreted as a waiver of such provision.

Entire Agreement

These Terms constitute the entire agreement between you and the Company with respect to the use of the Shuga Platform. These terms and conditions supersede all prior and contemporaneous representations or understandings. Unless expressly agreed by the Company, these Terms shall always prevail over any inconsistent terms or conditions embodied within any documentation issued under or in connection with use of the Shuga Platform.
